These Terms of Service ("Agreement") constitute a legally binding agreement between you ("User") and Assets Architects ("Company"), governing your access to and use of Assets Architects’ services, including but not limited to its systems and offerings (collectively, the "Services"). By accessing, using, or registering for the Services, you affirm that you have read, understood, and agreed to be bound by the terms and conditions set forth herein. If you do not agree to these terms, you must immediately cease using the Services.

1. Definitions

"Company," "we," "us," and "our" refer to Assets Architects and its affiliates, successors, and assigns.

"User," "you," and "your" refer to the individual or entity registering for and using the Services.

"Subscription Services" refer to Assets Architects’ systems, advisory, and software-as-a-service (SaaS) platform offerings.

"Funding Facilitation" refers to Assets Architects’ role in identifying and presenting funding opportunities but does not constitute a guarantee of funding approval.

"Platform" refers to Assets Architects’ proprietary web-based and mobile application-based technology solutions, including any associated educational, analytical, or funding systems.

2. User Responsibilities & Acceptable Use

By accessing and using Assets Architects’ Services, you agree to:

Provide and maintain accurate, complete, and updated business and personal information.

Maintain the confidentiality of login credentials and notify the Company immediately of any unauthorized account access or security breach.

Actively engage in system-guided sessions and implement recommended strategies in good faith.

Refrain from engaging in prohibited activities, including but not limited to:

Fraudulent, deceptive, or unlawful conduct;

Attempting to gain unauthorized access to any portion of the Platform;

Introducing malware, spamming, or misusing the Platform;

Using the Services for purposes outside the scope of this Agreement.

Failure to adhere to these responsibilities may result in suspension or termination of access to the Services, with no entitlement to a refund.

3. Scope of Services

Assets Architects provides the following:

System-Based Guidance & Advisory Services, delivered through its structured business development systems.

SaaS Platform Access, enabling users to leverage funding analytics, strategic planning tools, and educational content.

Funding Facilitation, which includes readiness assessments and introductions to third-party funding providers.

The Company does not offer direct loans, grants, or investments and does not guarantee funding approval or any specific financial outcomes.

4. Subscription, Payments & Refund Policy

4.1 Subscription Plans

Users must select and purchase a subscription plan (monthly or annual) to access the Services. A non-refundable setup fee is required upon enrollment.

4.2 Auto-Renewal & Cancellation

Subscriptions automatically renew unless canceled by the User at least thirty (30) days prior to the next billing cycle. Cancellation requests must be submitted in writing via the Platform or through customer support. All subscription fees paid are non-refundable, and no prorated refunds will be issued upon cancellation.

4.3 Payment Failures

The Company reserves the right to suspend or terminate Services due to failed payments. If payment is unsuccessful, the Company may reattempt processing before suspending access. Unresolved balances may be referred to collections, and Users will be responsible for any associated fees or legal costs.

5. Privacy & Data Collection

By using the Services, you consent to the collection, storage, processing, and use of your personal and business data in accordance with our Privacy Policy. The Company may collect financial details, funding application data, and usage analytics. User information may be shared with third-party funding providers for facilitation purposes. Aggregated, anonymized data may be used for research, product improvement, and marketing.

6. Disclaimers & Limitation of Liability

6.1 No Guarantee of Outcomes

Assets Architects does not guarantee funding approvals, business success, or financial results. System guidance is provided for educational and strategic purposes only and should not be construed as legal, financial, or tax advice.

6.2 Disclaimer of Warranties

All Services are provided "as-is" and "as-available" without warranties of any kind. The Company makes no guarantee regarding system uptime, accuracy, or relevance to your specific business needs.

6.3 Limitation of Liability

Assets Architects shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, data, or business opportunity. Total liability for any claim shall not exceed the total fees paid by the User in the twelve (12) months prior to the claim.

7. Termination & Suspension

The Company may:

Terminate a User’s access with thirty (30) days’ written notice for any reason.

Immediately suspend or terminate access for material breaches, payment failures, or misuse.

No refunds will be provided upon termination or suspension of Services.

8. Intellectual Property Rights

All intellectual property, including software, frameworks, educational content, and business methodologies, is owned by Assets Architects. Users may not copy, distribute, modify, or create derivative works from the Company’s materials without prior written permission.

9. Dispute Resolution & Governing Law

This Agreement is governed by the laws of [State], without regard to conflict of law principles. Disputes must be resolved through binding arbitration in [City, State]. Each party bears its own costs. Users waive rights to class-action suits or consolidated legal actions.

10. Modifications to Terms

The Company may update these Terms at any time, with notice provided via email or Platform updates. Continued use of the Services after modifications indicates acceptance of the new terms.
